Green Llama GLerp
Master Terms of Service
Effective Date: February 9, 2026
These Master Terms of Service (“Terms”) constitute a legally binding agreement between Green Llama Technology (“Green Llama,” “we,” “us,” or “our”) and the business entity or person (“Client,” “you,” or “your”) accessing or using the Green Llama GLerp platform (“GLerp”).
1. The Service & Independence
1.1. Description. GLerp is a B2B Enterprise Resource Planning (ERP) platform. By accessing the Service, you represent that you are at least 18 years of age and are using the service for professional or business purposes.
1.2. Relationship to Frappe Technologies. GLerp is built using the open-source ERPNext framework. Green Llama Technology is entirely independent from Frappe Technologies Pvt Ltd. We are not legally affiliated with, partnered with, endorsed by, or in any way a representative of Frappe Technologies. All support, hosting, and service obligations are provided solely by Green Llama.
2. Accounts & Deployment
2.1. Registration. Initial deployment and account creation are handled via Green Llama sales and support channels. Each Client is a member of their respective organization and must maintain the confidentiality of login credentials.
2.2. Licensing. Green Llama offers tiered seat licenses. Unauthorized sharing of seat credentials outside the licensed tier or organization is a violation of these Terms.
3. Fees & Non-Refundable Charges
3.1. Pricing. Fees are based on seat tiers, core module access, and additional over-the-top or custom modules as specified in your service quote.
3.2. Onboarding Fee. Any "Onboarding," "Implementation," or "Setup" fee is strictly non-refundable upon payment, as it covers the immediate dedication of resources and infrastructure deployment.
3.3. Subscription Fees. All subscription fees are non-cancelable and non-refundable for the duration of the current billing cycle.
4. Data & Privacy
4.1. Ownership. You retain all ownership of data, information, or material you upload to GLerp (“Client Content”).
4.2. Access for Support. You grant Green Llama personnel the right to access your environment for troubleshooting, project rollout, and customer support. Green Llama treats such data with professional confidentiality as outlined in our Privacy Policy.
4.3. AI Clause. GLerp includes AI integrations. We will not train AI models on your Client Content without your prior written consent.
5. Beta Services ("Friendly" Phase)
If you are participating in a free or beta version of GLerp, the service is provided “AS-IS” without warranty of any kind. During this period, neither party has a long-term obligation to continue the service. Green Llama reserves the right to terminate free access with reasonable notice once formal pricing models are implemented.
6. Acceptable Use
You agree not to:
- Use GLerp for high-frequency automated trading or real-time mission-critical life-safety systems.
- Attempt to reverse engineer GLerp-specific customizations or bypass seat-license limits.
- Send unsolicited bulk SMS or email in violation of the TCPA, CAN-SPAM, or other regional regulations.
- Upload malware or use the service for any illegal activity.
7. Service Level Agreement (SLA)
7.1. Uptime Commitment. We aim for a 99.5% uptime standard.
- Minor Outage: If the service is unavailable for more than 24 hours (accumulated) in a calendar month, Client may request a pro-rated credit for subsequent service.
- Major Outage: If the service is unavailable for more than 3 consecutive business days, Green Llama will provide the subsequent month of base service free of charge.
8. Limitation of Liability
8.1. Liability Cap. To the maximum extent permitted by Missouri law, Green Llama’s total liability for any claim arising out of these Terms shall not exceed the total amount paid by the Client to Green Llama in the 12 months preceding the event giving rise to the claim.
8.2. Exclusion of Damages. Green Llama shall not be liable for lost profits, lost data, or any incidental, indirect, or consequential damages, even if advised of the possibility of such damages.
9. Termination & Data Retrieval
9.1. Cancellation. Either party may terminate these Terms with thirty (30) days' written notice via email.
9.2. Data Export. Following termination, you will have a 90-day grace period to export your data from the platform. After 90 days, Green Llama will permanently purge Client Content from active systems.
10. Governing Law & Arbitration
10.1. Venue. These Terms are governed by the laws of the State of Missouri.
10.2. Mandatory Arbitration. Any disputes arising from these Terms shall be resolved through binding arbitration in Missouri. You agree to resolve disputes only on an individual basis and waive the right to a jury trial or to participate in a class-action lawsuit.
